1. Scope of Services

Fynix is a branding and marketing agency based in India, offering professional services that include:

• Branding: Strategy, visual identity, brand guidelines, and marketing collateral
• UI/UX Design: User experience and interface design for web and mobile platforms
• Website Development: Custom design and full-stack development for corporate and marketing websites
• Search Engine Optimization (SEO): Technical, on-page, off-page, and local SEO
• Paid Advertising: Strategy, management, and optimization for Google Ads, Meta, LinkedIn, and other platforms

Each project is governed by a custom proposal and a mutually signed agreement or Statement of Work (SOW).

2. Website Use

The Website is intended solely for information purposes. You agree not to:

• Use the Website for unlawful purposes or in violation of any applicable law
• Attempt to breach or probe security of the Website
• Scrape, copy, or duplicate any part of the Website without explicit permission
• Upload malicious code or attempt unauthorized access to our infrastructure

We may suspend or restrict access at our discretion, without notice, for any violation of these Terms.

3. Client Obligations

Clients engaging Fynix for Services are expected to:

• Provide accurate, complete, and timely information
• Review deliverables promptly and offer constructive feedback
• Make payments on time, in accordance with agreed terms
• Ensure proper licensing or ownership of materials provided to Fynix for project use

Fynix shall not be held liable for project delays or service issues caused by client inaction or delays in communication.

4. Intellectual Property

All original work—including designs, code, strategy documents, marketing collateral, and visual assets—created by Fynix remains our intellectual property until full payment has been received.

Upon full settlement:

• Clients receive ownership and usage rights for final, approved deliverables
• Fynix retains the right to display non-confidential deliverables in its portfolio and case studies unless a written NDA restricts it

Third-party components (e.g., fonts, stock assets, plugins) are subject to their respective licenses and must be used per those terms.

5. Payment Terms and Refund Policy

• All quotes are exclusive of applicable taxes (e.g., GST).
• Payment schedules are outlined in the proposal and/or invoice.
• Invoices must be settled in the agreed-upon currency and timeframe.

Refunds: We do not offer refunds for services already rendered or time invested. If a client terminates a project early, payments for work completed up to the termination date will remain due.

6. Confidentiality

Fynix treats all client-provided materials, data, and discussions as confidential. We will not disclose client information without prior written consent, except as required by law.

Clients also agree to treat any proprietary tools, methodologies, internal processes, and unpublished work of Fynix as confidential.

7. Limitation of Liability

Fynix is not liable for:

• Any indirect, incidental, or consequential damages
• Losses due to platform policy changes, algorithm updates, or ad account restrictions
• Third-party service disruptions (e.g., hosting, payment gateways, CMS)

Total liability under these Terms shall be limited to the amount paid by the client for the specific service or project.

8. Use of Third-Party Tools

Some of our Services involve integration or use of third-party platforms (e.g., Google Ads, WordPress, Webflow, Analytics tools). Fynix is not responsible for:

• Performance or uptime of these platforms
• Changes to their terms, policies, or costs
• Any client violations of those platforms' terms of use

Clients must independently review and accept the terms of all third-party providers.

9. Termination

Projects may be terminated by either party in accordance with the terms of the signed agreement. Upon termination:

• All unpaid work completed until that point will remain billable
• Any advance payment for work not yet started will be adjusted as per the agreement
• Access to any staging or working files may be revoked until outstanding balances are cleared

10. Governing Law

These Terms shall be governed and interpreted under the laws of India. Any dispute shall fall under the exclusive jurisdiction of the courts of India.

11. Modifications to Terms

Fynix reserves the right to update or modify these Terms at any time. Revisions will be posted on this page with an updated effective date. Continued use of the Website or Services constitutes acceptance of the revised Terms.
